Welcome to Keenan Technologies LLC (“KeenanTech”, “we”, “us”, or “our”). By accessing or using our website, Remote Monitoring and Management (RMM) services, and related offerings, you agree to comply with and be bound by the following Terms and Conditions. If you do not agree to these terms, you should not use our services.


1. Definitions

“KeenanTech”, “we”, “us”, or “our” refers to Keenan Technologies LLC.

“Client” or “you” refers to any individual or business using our services.

“Services” refers to our website, RMM services, software, and any related IT services we provide.


2. Acceptance of Terms

By accessing or using our services, you agree to these Terms and Conditions and our Privacy Policy. These terms apply to all visitors, users, and clients. If you do not agree, you must discontinue use immediately.


3. Service Description

KeenanTech provides managed IT services, including Remote Monitoring and Management (RMM), system maintenance, security monitoring, and technical support.

While we take proactive measures to maintain system performance and security, KeenanTech does not guarantee the prevention of all security incidents, system failures, or data loss. No IT system can be made completely secure or uninterrupted.


4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Maintain secure access to your systems and credentials
  • Notify us promptly of any suspected security incidents or unauthorized access
  • Ensure your systems meet reasonable technical requirements for support
  • Use our services only for lawful purposes

5. Service Availability

We strive to provide reliable and continuous services. However, services may be temporarily unavailable due to maintenance, updates, third-party outages, or circumstances beyond our control. We do not guarantee uninterrupted service.


6. Fees and Payment Terms

Fees
All fees for services are defined in your service agreement or as otherwise communicated.

Payment Terms
Payments are due according to agreed terms. Failure to pay may result in suspension or termination of services.

Taxes
Clients are responsible for any applicable taxes unless otherwise specified.


7. Termination

By Client
You may terminate services in accordance with your service agreement. Outstanding balances remain due.

By KeenanTech
We may suspend or terminate services for non-payment, violation of these terms, or any activity that compromises security or service integrity.

Effect of Termination
Upon termination, access to services and systems provided by KeenanTech may be removed.


8. Confidentiality

Both parties agree to maintain the confidentiality of non-public, proprietary, or sensitive information shared during the course of the relationship, unless disclosure is required by law.


9. Intellectual Property

All software, systems, documentation, and materials provided by KeenanTech remain our property or that of our licensors. You are granted a limited, non-transferable right to use these solely for service-related purposes.


10. Limitation of Liability

To the fullest extent permitted by law, KeenanTech is not liable for indirect, incidental, or consequential damages, including loss of data, revenue, or business opportunities.

Total liability for any claim shall not exceed the amount paid by the client for services in the twelve (12) months preceding the event giving rise to the claim.


11. Indemnification

You agree to indemnify and hold harmless KeenanTech, its employees, and affiliates from any claims, damages, or expenses arising from your use of services, violation of these terms, or misuse of systems.


12. Disclaimer of Warranties

All services are provided “as is” and “as available” without warranties of any kind. We do not guarantee that services will be uninterrupted, error-free, or fully secure.


13. Third-Party Services

Our services may involve third-party providers (such as cloud platforms, software vendors, or infrastructure providers). KeenanTech is not responsible for the performance or practices of third-party services.


14. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the State of Maine.

Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Maine.


15. Changes to Terms

We may update these Terms and Conditions from time to time. Updates will be posted on this page with a revised Effective Date. Continued use of services indicates acceptance of the updated terms.


16. Scope of Terms

These Terms and Conditions apply to general use of our website and services.

Clients receiving managed IT services may also be subject to additional terms outlined in separate service agreements, contracts, or statements of work. In the event of a conflict, those agreements will govern.
